1. Agreement to Terms

These Terms of Service ("Terms") are entered into between Kelvinura Thermal Corp., a corporation registered under the laws of Alberta, Canada with VAT number 710492853 RT 0001 ("Company," "we," "us," or "our"), and you ("Client," "you," or "your").

By accessing, browsing, or using our website, services, products, or any materials provided by Kelvinura Thermal Corp., you agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use our services. Your continued use of our services constitutes acceptance of these Terms.

2. Description of Services

Kelvinura Thermal Corp. provides precision cooling engineering services, thermal management solutions, and related consulting and installation services for industrial applications in Alberta and surrounding regions ("Services").

All Services are provided on an as-needed basis and are subject to project-specific scoping, quotation, and formal contract agreements. These Terms apply to all initial inquiries, quotations, consultations, and any subsequent service delivery unless superseded by a signed Service Agreement.

3. Quotations and Pricing

All quotations provided by Kelvinura Thermal Corp. are estimates and are valid for thirty (30) days from the date of issue unless otherwise specified. Quotations are subject to change based on material costs, labor availability, and project scope changes.

Pricing does not include applicable sales taxes, permits, inspections, or any extraordinary site-specific costs unless explicitly stated in writing. Final invoicing will reflect actual materials, labor hours, and applicable taxes.

4. Payment Terms

Unless otherwise agreed in a written Service Agreement, payment terms are Net 30 from invoice date. For projects exceeding $10,000, we may require a deposit of 30% upon contract signing and 70% upon completion.

Invoices are payable via bank transfer, credit card, or as otherwise specified on the invoice. Late payments are subject to interest charges of 1.5% per month or the maximum allowed under Alberta law, whichever is lower.

We reserve the right to suspend services or withhold deliverables if payment obligations are not met.

5. Warranty and Liability

Kelvinura Thermal Corp. warrants that all work performed and equipment provided will be of professional quality and in accordance with industry standards applicable in Alberta. Equipment supplied carries the manufacturer's warranty, which we will transfer to you where legally permissible.

LIMITATION OF LIABILITY: Except for personal injury or death caused by our negligence, Kelvinura Thermal Corp.'s total liability for any claim arising from these Terms or any Services shall not exceed the amount paid for the specific service giving rise to the claim, capped at $50,000 CAD.

We are not liable for: (a) indirect, incidental, or consequential damages; (b) lost profits or business interruption; (c) damage to client property or equipment; (d) poor performance due to factors outside our reasonable control; or (e) third-party claims arising from client misuse of our services or equipment.

6. Client Responsibilities

The Client is responsible for:

  • Providing accurate information about site conditions, existing systems, and operational requirements.
  • Ensuring access to work sites and compliance with all applicable laws, building codes, and safety regulations.
  • Obtaining necessary permits and approvals prior to work commencement.
  • Protecting our personnel and equipment during project execution.
  • Providing timely feedback and approvals to avoid project delays.

7. Cancellation and Termination

Clients may cancel a Service Agreement with written notice. Cancellation prior to project commencement will result in forfeiture of any advance deposits paid. Cancellation during project execution will be charged on a time-and-materials basis plus any non-recoverable material costs.

Kelvinura Thermal Corp. reserves the right to terminate services immediately if the Client fails to pay invoices, violates safety protocols, or materially breaches these Terms.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information, technical specifications, pricing data, and project details shared during the course of our relationship, except where disclosure is required by law or with prior written consent.

9. Intellectual Property

All designs, engineering plans, documentation, software, and proprietary processes developed by Kelvinura Thermal Corp. remain our intellectual property unless otherwise agreed in writing. Clients receive a non-exclusive license to use deliverables solely for the contracted project.

10. Health and Safety

Kelvinura Thermal Corp. complies with all applicable Alberta and Canadian occupational health and safety regulations. All personnel are trained and certified for their respective roles. Clients must provide safe working conditions and inform us of any hazards present at work sites.

11. Insurance

Kelvinura Thermal Corp. carries comprehensive general liability insurance and workers' compensation coverage as required by Alberta law. Clients are responsible for obtaining their own insurance coverage for their facilities and operations.

12. Limitation of Use

Our Services are intended for lawful, legitimate industrial and commercial cooling applications. You agree not to use our Services for illegal purposes, to violate environmental or safety laws, or in any manner that could cause harm to persons or property.

13. Dispute Resolution

Any dispute arising from these Terms or our Services shall first be addressed through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration administered by ADR Alberta or, if the Client prefers, through the Courts of Alberta.

14. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. You irrevocably consent to the exclusive jurisdiction of the courts of Edmonton, Alberta.

15. Data Protection and Privacy

Kelvinura Thermal Corp. processes your personal and business information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. For details, please review our Privacy Policy.

We do not share client information with third parties except where legally required or with your explicit consent.

16. Changes to Terms

Kelvinura Thermal Corp. reserves the right to update these Terms at any time. Changes will be effective upon posting to our website, with the updated date listed at the top of this document. Continued use of our Services following changes constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms of Service, together with any signed Service Agreements and our Privacy Policy, constitute the entire agreement between you and Kelvinura Thermal Corp. and supersede all prior understandings and agreements, whether written or oral.
